Direct Seller Registration

By Ticking the Tick Box below, I/We read, understand and agree that information provided in connection herewith in the following Terms and Conditions are to be read together along with the Polices & Procedures, Product Return & Refund Policy & Privacy Policy (called the” Agreement”), at the time of Direct Seller/ Preferred Customer Registration (the “Application”). The Direct Seller/ Preferred Customer Agreement (the” Agreement”), of which these Terms and Conditions, Polices & Procedures, Product Return & Refund Policy & Privacy Policy form an integral part, becomes binding between NATURESPURE and the identified person/entity (the “Applicant”) if and when NATURESPURE, in its sole discretion, accepts the Application.

1. Appointment. NATURESPURE hereby registers the Applicant as a Direct Seller/ Preferred Customer of NATURESPURE to promote all its Products and Services by the “Direct Seller/ Preferred Customer” and all the Applicants consents to such registration.

2. Effective Date. This Agreement becomes effective from the date of acceptance of the Application by NATURESPURE. NATURESPURE will communicate its acceptance through providing the Direct Seller/ Preferred Customer with information required to place orders/receive commissions on signing the same digitally through Aadhar enabled OTP

3. Ordering. This Agreement shall remain valid unless terminated in writing by the Preferred Customer/Direct Seller or NATURESPURE.

4. Duration. The Preferred Customer/DIRECT SELLER may place orders when he/she has received required information from NATURESPURE and completed any subsequent formalities.

5. Loyalty Program. The Preferred Customer/Direct Seller shall automatically be enrolled in the Loyalty Program and /or Compensation Plan (the “Program”), the Terms and Conditions of which are incorporated herein by way of reference and are available at www.naturespurehealth.in.

6. Amendment of the Agreement by NATURESPURE. NATURESPURE may from time to time amend the Agreement, inclusive of the Program, through notice on its website, www.naturespurehealth.in If the Preferred Customer/Direct Seller does not agree to be bound by such amendment(s), he/she may terminate the Agreement in accordance with Clause 7 hereof. Otherwise, the Preferred Customer/Direct Seller's continued relationship with NATURESPURE constitutes an affirmative acknowledgment by him/her of the amendment(s), and his/her agreement to be bound by the same.

7. Termination. The Preferred Customer/Direct Seller may terminate this Agreement at any time by giving a written notice to NATURESPURE. The Agreement shall terminate automatically, with immediate effect, in the event that The Preferred Customer/Direct Seller is appointed or reappointed as an NATURESPURE Preferred Customer/Direct Seller, NATURESPURE may, with immediate effect, terminate this Agreement for cause or due to legal or regulatory requirements by giving a written notice to the Preferred Customer/Direct Seller

8. Login and Password. Preferred Customer/Direct Seller agrees that he/she shall not disclose, lend, divulge or otherwise permit any other party to use his/her login ID or password for any purpose whatsoever, including, but not limited to, the purchase of NATURESPURE Products and Services from NATURESPURE.

9. Servicing Preferred Customer/Direct Seller. The Preferred Customer/Direct Seller hereby consents to permit NATURESPURE or by his/her Sponsor or by any Upline Direct Sellers to contact him/her in relation to products offered by NATURESPURE, including notifications of Promotions, Offers, Product information, Purchases, Refunds or Complaints in accordance with the Privacy Policy.

10. Conditions of Sale

10.1. Ordering and Invoices.The supply of Products by NATURESPURE under an invoice shall be subject to the following provisions:

a) Weights, measures and statements as to quantity, quality, date of manufacture and other descriptive data as contained on the packing shall be presumed to be correct.

b) The Preferred Customer/Direct Seller shall have legal title to the Products when they are handed over to the Preferred Customer/Direct Seller or the Carrier, as the case may be.

c) The Preferred Customer/Direct Seller must verify conformity of the Products with the order before accepting delivery.

d) Prices are inclusive of all taxes as on the date of sale

e) Refunds of GST and statutory levies already collected will be governed by NATURESPURE’s Refund Policy

f)NATURESPURE is not liable for delays or non-delivery of Products by the carrier due to Force Majeure or other circumstances beyond its reasonable control, or any direct or indirect loss or damages arising therefrom.

g) Each lot/instalment of Products delivered under an invoice shall deemed to be sold under a separate contract.

10.2. Self-Consumption/ Resale. The Preferred Customer/Direct Seller agrees that he/she shall use the Products purchased from NATURESPURE for his/her self-consumption and shall also resell the Products by Retailing effectively and use the same for any commercial purpose as per a separate agreement.

10.3. ReturnsThe Customer may return any Product to the Direct Seller from whom they have purchased within 30 (Thirty) days of purchase as per the Refund Policy for Customers published on www.naturespurehealth.in ,as it may be updated from time to time. Direct Sellers may return any may return Currently Marketable Products to Naturespure within 30 (Thirty) days of purchase as per the Refund Policy as mentioned in ADDENDUM B – B1 of the Polices & Procedures

11. No Assignment.This Agreement is entered into on a personal basis, and neither this Agreement nor any of the rights or obligations of the Preferred Customer/Direct Seller arising hereunder may be assigned or transferred to anyone without the prior written consent of NATURESPURE.

12. Severability. . If any provision of these Terms and Conditions is declared invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. Governing Law.This Agreement and all questions of its interpretation shall be governed by and construed in accordance with the laws of the Republic of India.

14. Jurisdiction.This Agreement and all transactions shall be subject to Courts of Tiruvalla, Kerala, India jurisdiction
